These Master Terms & Conditions (“Terms”) apply to all services provided by Global Captive Media Ltd (“Supplier”, “GCM”, “we”, “us”, or “our”) to the contracting entity (“Client”, “you”, or “your”), whether purchased individually or in combination.
These Terms operate together with any statement of work, insertion order, subscription form, proposal, order confirmation, or similar document agreed between the parties (each an “Agreement”). Only those provisions relevant to the Services purchased shall apply.
1.1 Services means the products or services supplied by the Supplier that are applicable to this Agreement and are stated in the Product & Services, Item & Description section of the applicable Agreement, including but not limited to subscriptions, data access (including DataHub), market intelligence, data licensing, consultancy, advertising, sponsored or branded content, marketing activities, events, event sponsorship, and memberships.
1.2 Data means any database, dataset, market intelligence, research, analysis, insights, or similar materials provided by the Supplier.
1.3 Content includes all articles, editorial, sponsored material, advertising assets, media, publications, reports, and online content.
1.4 Agreement means these Terms together with any applicable statement of work, insertion order, subscription confirmation, proposal, or other written agreement between the parties.
1.5 Named User means the individual(s) expressly authorised in writing to access subscription services, DataHub, or Data licences.
2.1 The Supplier shall provide the Services as set out in the applicable Agreement.
2.2 The Supplier may adjust timelines or deliverables where affected by Client changes, availability of data, dependencies, or external factors beyond the Supplier’s reasonable control.
2.3 No exclusivity is granted unless expressly agreed in writing.
2.4 The term and duration of the Agreement shall be determined as follows:
a) for Data, Data licences, memberships, subscriptions and non-event-related marketing products, the term shall be the period stated in the Product & Services, Item & Description section of the applicable Agreement; and
b) for event sponsorship, the term shall commence on the date on which the last party signs the Agreement and shall continue until the later of: (i) the conclusion of the relevant event; and (ii) completion of any post-event Services or deliverables specified in the Agreement.
3.1 Fees are payable in accordance with the invoice, statement of work, insertion order, or subscription confirmation.
3.2 Unless otherwise agreed in writing, all fees must be paid in full within thirty (30) days of receipt of the invoice.
3.3 The Supplier reserves the right to suspend or withhold Services in the event of late or non-payment.
3.4 All fees are exclusive of VAT or other applicable taxes unless stated otherwise.
3.5 Fees for subscriptions, data licences, and data access are non-refundable once access has been granted.
4.1 All intellectual property rights in the Supplier’s Data, Content, research, advertising materials, event content, publications, reports, and deliverables remain the exclusive property of Global Captive Media Ltd unless expressly assigned in writing.
4.2 The Client is granted a non-exclusive, non-transferable, revocable licence to use such materials solely for its internal business purposes and strictly in accordance with the Agreement.
4.3 No rights are granted to copy, adapt, distribute, create derivative works from, or otherwise commercialise the Supplier’s materials unless expressly authorised in writing.
This clause applies to DataHub access, data licences, and subscription services, as applicable.
5.1.1 Access is limited to the Named User(s) specified in the Agreement.
5.1.2 Licences may not be shared, transferred, sublicensed, or used by any person other than the Named User.
5.1.3 Shared logins, password sharing, screen-grabbing, bulk exporting, systematic copying, automated scraping, or use of bots or extraction tools are strictly prohibited.
The Client shall not, without the Supplier’s prior written consent:
a) download Data in bulk or systematically copy, cache, harvest, index, or store Data on internal systems, databases, or repositories;
b) export, extract, or replicate Data from DataHub or similar platforms except through expressly permitted, non-download functionality;
c) share Data outside the Client’s organisation or make it available to third parties;
d) publish Data on internal systems (including intranets), external websites, social media platforms, or third-party tools;
e) use Data for any purpose not expressly authorised under the Agreement.
Any breach of this Clause 5 shall constitute a material breach of the Agreement.
The Client is responsible for ensuring that its employees, contractors, consultants, and agents comply with this Clause 5 and shall be fully liable for any acts or omissions by such persons that would constitute a breach if carried out by the Client directly.
The Client shall not use, permit use of, or allow access to the Data or Content for the purposes of training, fine-tuning, validating, or inputting into any artificial intelligence, machine learning, large language model, or automated decision-making system without the Supplier’s prior written consent.
Where the Client is expressly permitted to reference Data publicly (for example, in presentations or reports), it must clearly credit Captive Intelligence or Global Captive Media Ltd as the source.
Data is provided with reasonable care; however, no warranty is given as to its completeness or accuracy. The Supplier accepts no liability for decisions or actions taken based on the Data.
In the event of any breach of this Clause 5 or unauthorised use or dissemination of Data or Content, the Client shall be liable for the Supplier’s actual and demonstrable losses. This clause is compensatory in nature and does not constitute a penalty.
The Client acknowledges that unauthorised use, copying, storage, or dissemination of the Data or Content may cause irreparable harm to the Supplier for which damages alone may be an inadequate remedy. The Supplier shall therefore be entitled to seek injunctive or equitable relief, including orders for immediate cessation of use and removal of the Data or Content, in addition to any other rights or remedies available at law.
6.1 The Supplier reserves the right to decline advertising or sponsorship materials that are unlawful, defamatory, misleading, or inconsistent with editorial standards.
6.2 Placement, prominence, and format shall be as agreed in writing.
6.3 The Client is responsible for compliance with all applicable advertising and marketing laws and regulations.
6.4 The Supplier will not place Client branding adjacent to content relating to “sin industries”, including tobacco, adult entertainment, or gambling.
6.5 Advertising and sponsored content bookings are non-cancellable once confirmed. Failure to supply materials by agreed deadlines does not relieve the Client of payment obligations.
Unless otherwise stated in the Agreement:
a) More than 6 months before the event: 90% refund.
b) 3–6 months before the event: 50% refund.
c) Less than 3 months before the event: no refund.
If the Supplier cancels an event other than due to Force Majeure, the Client shall receive a full refund of event fees paid. If the event is postponed or materially changed, the Client may transfer its booking or request a refund.
8.1 Each party shall keep confidential all information marked as confidential or which ought reasonably to be regarded as confidential.
8.2 Confidentiality obligations survive termination for two (2) years.
9.1 The Supplier’s total liability arising under or in connection with the Agreement shall not exceed the total fees paid by the Client under the applicable Agreement.
9.2 The Supplier shall not be liable for indirect, incidental, consequential, or special losses, including loss of profits, revenue, data, or reputation.
9.3 Nothing in the Agreement limits liability for fraud or wilful misconduct.
10.1 Neither party may terminate the Agreement for convenience. The Agreement may be terminated before the end of the term stated in accordance with Clause 2.4 only where both parties agree in writing, with the agreed termination date being no less than thirty (30) days after the date of that written agreement, or where termination is otherwise expressly permitted under these Terms, including for material breach or Force Majeure.
10.2 The Supplier may terminate the Agreement immediately upon written notice if the Client commits a material breach, including (without limitation) where the Client:
a) breaches Clause 5 (Data Access, Licensing & Use);
b) infringes the Supplier’s intellectual property rights; or
c) causes reputational damage to the Supplier.
10.3 Upon termination:
a) all outstanding fees become immediately due;
b) all licences and access rights terminate immediately; and
c) the Client shall, upon request, delete or return all Supplier materials.
11.1 Neither party shall be liable for delay or failure caused by events beyond reasonable control, including natural disasters, war, epidemics, strikes, civil unrest, or utility failures.
11.2 Where a Force Majeure event occurs, the parties shall discuss appropriate adjustments, postponement, rescheduling, or, where continued performance is not reasonably possible, termination of the Agreement by written agreement.
12.1 Personal data shall be processed in accordance with applicable data protection laws and the Supplier’s Privacy Policy.
13.1 The Agreement shall be governed by the laws of England and Wales.
13.2 The parties submit to the exclusive jurisdiction of the courts of England and Wales.
